This Disclaimer applies to your use of the Zomzey™ platform at zomzey.io (the “Platform”), operated by ITXL LTD (“we”, “us”, “our”, or “Zomzey™”). It forms part of our Terms of Service and should be read alongside our Privacy Policy, Refund Policy, and Dispute Resolution Policy.
Nothing in this Disclaimer excludes or limits any liability that cannot be excluded under applicable law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or any rights you may have as a consumer under the Consumer Rights Act 2015.
2. General disclaimer
The Platform and all content, services, and tools provided through it are made available on an “as is” and “as available” basis. To the fullest extent permitted by law, we make no representations or warranties of any kind, express or implied, in relation to:
- The operation, availability, or performance of the Platform
- The accuracy, completeness, currency, reliability, or quality of any information on the Platform
- The suitability of the Platform for any particular purpose
- The continuous, secure, error-free, or virus-free operation of the Platform
- The conduct of other Users
- The outcome of any transaction arranged through the Platform
You use the Platform at your own discretion and risk.
3. No guarantee of commercial outcomes
Zomzey™ is a marketplace that helps Pioneers connect with Influencers and Hubs. Whether any introduction, Brief, Order, or relationship results in commercial success depends on many factors outside our control, including but not limited to:
- The product, book, app, or service being promoted
- Pricing, packaging, and presentation
- Market demand and timing
- The reach and engagement of the Influencer or Hub
- The quality of the work delivered
- External economic, social, and platform-specific factors
We do not guarantee, warrant, or promise any specific outcome including but not limited to:
- Sales, revenue, or profit
- Reviews, ratings, or rankings
- Bookstore stocking or library catalogue inclusion
- Audience growth, follower count, or engagement
- Media coverage or press mentions
- Award nominations, longlistings, or shortlistings
- Conversion of audience to customers
Marketing and promotional outcomes vary widely. Past performance of any Influencer, Hub, or campaign type does not predict future results.
4. ZAi and AI features
The Platform includes AI powered features branded ZAi, including brief writing help, suggestions, matching, and support answers. ZAi output is generated automatically, may contain errors or omissions, and is provided for guidance only. We make no warranty as to the accuracy, completeness, or suitability of any ZAi output, and match suggestions do not guarantee the suitability of any User or the outcome of any deal. You remain responsible for your own decisions and for content you publish.
5. User-generated content
Profiles, Briefs, Offers, messages, reviews, and other content on the Platform are submitted by Users, not by ITXL LTD. We do not pre-screen, verify, or endorse User-generated content. We are not responsible for:
- The accuracy of information shown in any profile
- The truthfulness of audience size, reach, or engagement metrics submitted by Influencers or Hubs
- The quality or honesty of reviews
- The performance of any Influencer or Hub against their stated profile
- Statements, claims, or representations made by Users in their content
You should perform your own due diligence before entering into any Order, including reviewing the other User’s profile, ratings, prior work, and any independent information available to you.
6. Third-party services
The Platform integrates with third-party services to provide certain features, including but not limited to:
- Stripe and Stripe Connect for payments and payouts
- Anthropic (Claude API) for AI features
- Google Analytics 4 for usage analytics
- Hosting, email, customer support, and infrastructure providers
These third parties operate under their own terms of service and privacy policies. We are not responsible for their performance, availability, decisions, pricing changes, security incidents, or any acts or omissions on their part.
7. External links
The Platform may include links to external websites, social media platforms, or other resources operated by third parties. These links are provided for convenience only. We do not control, monitor, or endorse the content of any external website. Following an external link is at your own risk.
The inclusion of a link to an external resource does not imply endorsement, partnership, or any other formal relationship with the operator of that resource.
8. Not professional advice
Information published on the Platform including in blog posts, guides, help articles, AI suggestions, match explanations, or User content is provided for general informational purposes only and is not professional advice.
In particular, nothing on the Platform is intended as:
- Legal advice
- Financial, investment, or tax advice
- Medical or health advice
- Marketing or commercial advice tailored to your specific circumstances
- Publishing, copyright, or intellectual property advice
You should obtain qualified professional advice appropriate to your circumstances before relying on any information accessed through the Platform.
9. Reliance on Platform information
While we take reasonable care to keep Platform information accurate and current, we do not warrant that it is free from errors, omissions, or out-of-date material. You rely on Platform information at your own risk. We accept no liability for any loss or damage arising from reliance on Platform content, except where liability cannot be excluded by law.
10. Beta and experimental features
From time to time we may release features in beta, preview, or experimental form. Such features may be incomplete, unstable, or subject to change without notice. They are provided without any warranty of fitness or stability. Use of beta features is entirely at your discretion and risk.
11. Trade marks and intellectual property notice
“Zomzey” and “Zomzey Beacon” are trade marks of ITXL LTD. The ™ symbol indicates trade mark applications currently pending registration with the UK Intellectual Property Office.
All other trade marks, service marks, brand names, and logos referenced on the Platform are the property of their respective owners and are used for identification purposes only. Their inclusion does not imply endorsement, partnership, or affiliation between the rights holders and Zomzey™ unless expressly stated.
Unauthorised reproduction, redistribution, or use of Platform intellectual property may result in civil and criminal penalties under the Copyright, Designs and Patents Act 1988 and applicable international treaties.
12. Limitation of liability
For full detail of how our liability is limited, see Section 14 of our Terms of Service. In summary, and subject to liabilities that cannot be excluded by law:
- We are not liable for indirect, consequential, special, or exemplary losses, including loss of profit, revenue, business, data, or reputation
- Our total aggregate liability is limited as set out in our Terms of Service
13. Indemnity
You agree to indemnify and hold harmless ITXL LTD and its officers, employees, and agents from any claim, liability, loss, cost, or expense (including reasonable legal fees) arising from your use or misuse of the Platform, your User content, your breach of any policy, or your violation of applicable law or third-party rights. 14. Age restriction
The Platform is intended for adults aged 18 and over. We do not knowingly permit minors to use the Platform. If you believe a minor is using the Platform, contact us at disclaimer@zomzey.io.
15. Statutory rights preserved
Nothing in this Disclaimer excludes or limits your statutory rights as a consumer under UK law, including rights under the Consumer Rights Act 2015 where they apply.
16. Severability
If any provision of this Disclaimer is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.
17. Governing law and jurisdiction
This Disclaimer is governed by and construed in accordance with the laws of England and Wales. Any disputes arising in connection with it are subject to the exclusive jurisdiction of the courts of England and Wales, except where we choose to bring proceedings in any other jurisdiction in which you reside or operate.
18. Changes to this Disclaimer
We may update this Disclaimer from time to time. The “Last updated” date at the top reflects when material changes were made. Continued use of the Platform after changes take effect constitutes acceptance of the updated Disclaimer.
