These Terms of Service (“Terms”) govern your use of the Zomzey™ platform at zomzey.io (the “Platform”), operated by ITXL LTD, a company registered in England and Wales (company number 17060034), with registered office at 167-169 Great Portland Street, London W1W 5PF, United Kingdom (“ITXL LTD”, “we”, “us”, or “our”).
By creating an account, posting content, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.
These Terms are supplemented by our Privacy Policy, Cookie Policy, Acceptable Use Policy, Refund Policy, Dispute Resolution Policy, Disclaimer, and Complaints Procedure, which together form the agreement between you and us.

If you are registering on behalf of an organisation (e.g. as a Hub), you confirm that you are authorised to bind that organisation to these Terms.
To use most Platform features you must create an account. When registering, you must:
We may refuse, suspend, or terminate registration at our discretion, particularly where we suspect impersonation, fraud, or breach of these Terms.
Hubs may be required to complete a lightweight verification step at registration, including email-domain matching, to reduce the risk of impersonation.
Multiple accounts: a person or business may hold one account per role identity (for example, one Influencer or Hub account and one Pioneer account so they can pitch and post in the platform), each registered to its own email address. Duplicate accounts of the same role, or accounts used to evade a suspension, remain prohibited.
Third-party sign-in: you may register or sign in using a supported third-party service (such as Google, Facebook or X). Your use of that service is governed by its own terms and privacy policy, and ITXL LTD is not responsible for the availability or conduct of any third-party sign-in service. If a third-party service becomes unavailable or you lose access to it, you can regain access to your account using your registered email address via password reset. The information we receive from a sign-in service (such as your name, email address and profile picture) is handled in accordance with our Privacy Policy.
The Platform offers two membership plans for Influencers and Hubs, Free and Pro.
Free: £0 per month. 14.99% commission plus a £4.99 service fee applies to each completed deal.
Pro: £19.99 per month or £199 per year. 9.99% commission and no service fee.
Commission is deducted from the earner’s payout when funds are released. Pioneers pay no membership fee and no commission.
Pro membership renews automatically until cancelled. You can cancel at any time in your account settings, cancellation takes effect at the end of the current billing period. Membership fees are non-refundable except where required by law or as set out in our Refund Policy.
Prices include VAT where applicable. We may change plan pricing or features with at least 30 days notice, changes apply from your next renewal.
Influencers and Hubs may connect their social accounts to validate audience figures and earn a Zomzey verified badge. Badges reflect data at the time of validation and remain subject to periodic re-checking. Zomzey may decline, suspend, or remove a badge where figures cannot be validated, where a connected account is disconnected, or where we reasonably suspect misrepresentation. Badges confer no guarantee of deal outcomes.
The Platform includes AI powered features branded ZAi, such as brief writing help, suggestions, and support answers. ZAi output is generated automatically and provided as guidance only, it may contain errors and does not constitute professional advice. You remain responsible for content you publish and decisions you make. Inputs to ZAi are processed by our AI service providers under contract, see our Privacy Policy for details.
Zomzey™ is a platform that connects Pioneers with Influencers and Hubs. We provide the technology, payment processing, communication channels, matching tools, and dispute support that make these connections possible. We are not party to the contract for promotional services between a Pioneer and a Influencer or Hub. Each Order is a contract directly between the Pioneer and the Influencer or Hub.
Pioneers must post Briefs that are accurate, lawful, and consistent with our Acceptable Use Policy. Influencers and Hubs must submit Offers that they reasonably believe they can fulfil at the price quoted. Once an Offer is accepted, both parties are committed to the agreed scope, deliverables, and timeline as described in the accepted Offer. Substantial changes require mutual agreement in writing through the Platform.
Influencers and Hubs are responsible for delivering Orders in accordance with the accepted Offer. Where the Order requires verifiable proof of delivery (such as a published episode URL, a screenshot, a photograph of stocked product, or a newsletter link), the Influencer or Hub must provide that proof when marking the Order as delivered.
The Pioneer has a review period after delivery to confirm or dispute the Order. If no action is taken within the review period, the Order is automatically deemed confirmed and funds are released to the Influencer or Hub. The default review period is 7 days, which may vary by Order type and tier.
Clause one: Payment eligibility. All payments on the Platform are processed by our payment providers, including Stripe and PayPal. By registering, you confirm that you, your business, and the goods, services or content you promote or provide are eligible under our payment providers' terms, including Stripe's Prohibited and Restricted Businesses list and PayPal's Acceptable Use Policy. We may decline, suspend or close any account, and cancel or refuse any deal, where a member or their activity is restricted or prohibited by a payment provider, or where a provider declines to process payments for them. We are not liable for any loss arising from a payment provider's refusal, hold, reserve or restriction. 'Protected Payments' means our payment protection process under which funds for a deal are authorised and held by our payment provider, Stripe, an authorised payment institution, and released only when the agreed conditions are met. ZOMZEY does not itself hold client funds and is not a provider of third-party fund-holding services.
7.2 Platform Fee
The Platform Fee is the amount retained by Zomzey™ on each Order, determined by the Influencer’s or Hub’s membership tier at the time of the Order:
Free tier: 14.99% of the Order value plus a fixed service fee of £4.99 per Order.
Pro tier: 9.99% of the Order value, with no service fee.
Agency-represented: where the Influencer or Hub is represented by an Agency on the Platform, Orders are charged at 9.99% with no service fee, regardless of that member’s own tier.
ZSplit (optional, agencies): where an Agency enables ZSplit, ITXL LTD deducts a processing fee from the Agency’s commission share only, at 5% for Agency Pro members and 2.5% for Agency Max members. The talent’s payout and the Pioneer’s payment are unaffected by ZSplit.
The applicable Platform Fee is displayed before an Offer is accepted, so the rate is always known to all parties in advance of any commitment. Variable rates may apply where individually agreed (for example, promotional rates or special arrangements), and where a non-default rate applies it is shown on the Order.
All payments are processed via Stripe and Stripe Connect. By using the Platform, you agree to Stripe’s terms of service. We do not store full card or bank details directly; this information is held by Stripe.
From time to time we may issue coupons or discount codes that apply to subscription purchases or to Platform Fees. Each coupon’s specific rules (expiry, usage limits, applicability) are stated at issue. We may withdraw, modify, or refuse any coupon at our discretion where we suspect abuse.
You are responsible for determining and paying any taxes (including but not limited to income tax, VAT, or sales tax) that apply to your activity on the Platform. We may collect and remit certain taxes where required by law and will provide records to support your own tax compliance.
Influencers and Hubs receive payouts via Stripe Connect after the review period closes. Payout timing and method are subject to Stripe’s settlement rules. We may withhold or delay payouts where we have reasonable grounds to investigate a dispute, suspected fraud, or breach of these Terms. We strongly suggest that your genre or style of products, goods, services or any kind of offering is within these terms otherwise there will be complications that we do not wish to engage in through the zomzey platform.
Agency memberships exist to bring opportunities and deal flow through the ZOMZEY platform. Where ITXL LTD reasonably determines that an agency has used the platform to identify, contact or recruit talent and has then arranged, solicited or placed that talent's work outside the platform in order to avoid platform fees, the agency's membership and account may be terminated immediately and permanently. No refund of any membership fee, in whole or in part, will be made on such termination, and the agency's roster associations will be removed. You are responsible for ensuring that your products, goods, services and content comply with these Terms and with our payment providers' policies at all times.
“User Content” includes any text, images, audio, video, files, profile information, Briefs, Offers, messages, reviews, and other material you submit to the Platform. You retain ownership of your User Content.
By submitting User Content, you grant ITXL LTD a non-exclusive, worldwide, royalty-free, transferable, sublicensable licence to host, store, display, copy, modify, distribute, and perform the User Content for the purposes of operating, marketing, and improving the Platform. This licence ends when you delete the User Content or close your account, except to the extent the User Content has been shared with other Users or used in completed Orders.

Breach of this section may result in immediate suspension or termination of your account and forfeiture of any pending payouts at our reasonable discretion.
The Platform supports two-way reviews after Orders are completed. Reviews must be honest, based on actual experience, and free from abusive or defamatory content. We may remove reviews that breach these standards, but we do not edit reviews to make them more favourable to either party.
You may not buy, sell, exchange, or pressure others into giving particular reviews.
The Platform, including its code, design, branding, logos, graphics, copy, and the Zomzey™ name, are owned by ITXL LTD or its licensors. The Zomzey™ word mark is the subject of pending trademark applications with the UK Intellectual Property Office.
You may not copy, reproduce, distribute, modify, or create derivative works of the Platform’s intellectual property without our written permission, except as expressly permitted by these Terms.
If you believe content on the Platform infringes your intellectual property rights, contact us at contact@zomzey.io with details of the alleged infringement and proof of your rights. We will review and respond reasonably promptly.
The Platform uses an AI-powered matching engine to suggest matches between Pioneers and Influencers or Hubs. The matching engine produces ranked, scored suggestions based on profile data, brief content, audience metrics, and historical activity.
Match scores and explanations are advisory. Final decisions on which matches to engage with are always made by Users. We do not guarantee accuracy, completeness, or commercial outcomes from suggested matches.
The Platform is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

You agree to indemnify and hold harmless ITXL LTD and its officers, employees, and agents from any claim, liability, loss, cost, or expense (including reasonable legal fees) arising from:
Disputes between Users about a specific Order are handled in accordance with our Dispute Resolution Policy.
Complaints about the Platform itself or about ITXL LTD are handled in accordance with our Complaints Procedure.
Refunds are subject to our Refund Policy.
You may close your account at any time through your account settings. Outstanding Orders, Subscription commitments, and accrued obligations remain in force until completed or settled.
We may suspend or terminate your account at our discretion if:
On termination, your right to access the Platform ends. Pending Orders may be cancelled, completed, or transferred at our reasonable discretion. Provisions of these Terms intended to survive termination (including liability, indemnity, intellectual property, and governing law) continue in force.
Changes to these Terms.
We may amend these Terms at any time. The current version is always published on this page, together with the date it took effect, and it is your responsibility to review these Terms regularly. Where a change materially affects your rights or obligations (for example, changes to fees, commissions or membership benefits), we will give reasonable advance notice by email to your registered address, by a notice on the Platform, or both, before the change takes effect. Other changes (for example, clarifications, corrections, new features, or changes required by law) may take effect immediately on publication. Your continued use of the Platform after a change takes effect constitutes acceptance of the amended Terms. If you do not accept a change, you must stop using the Platform, and where a material change adversely affects a paid membership you hold, you may cancel that membership and receive a pro-rata refund of the unused portion of the current membership period.
We are not liable for any failure or delay in performing our obligations under these Terms where the failure or delay is caused by events beyond our reasonable control, including acts of god, war, terrorism, civil unrest, government action, pandemic, fire, flood, storm, power outage, internet outage, or third-party service failure.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.
These Terms, together with the policies referenced in them, constitute the entire agreement between you and us regarding the Platform and supersede any prior agreements on the same subject matter.
Failure or delay by us to enforce any right under these Terms does not waive that right or any subsequent right.
You may not assign or transfer your rights under these Terms without our written consent. We may assign or transfer our rights and obligations to a successor entity, including in connection with a merger, acquisition, sale of assets, or restructure.
Nothing in these Terms confers any rights on a third party under the Contracts (Rights of Third Parties) Act 1999.
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms are subject to the exclusive jurisdiction of the courts of England and Wales, except that we may bring proceedings in any other jurisdiction where you reside or operate.
