Prospect Centre Terms and Conditions
Last updated: 28th July 2026
1. Deal Terms
These Prospect Centre Terms apply to every deal arranged, agreed, funded or delivered through the ZOMZEY platform, including the Prospect centre, deal agreements created in chat, ZOMZEY Protected Payments, delivery notices and dispute support. They sit alongside our general Terms of Service, Privacy Policy and other legal pages. By using the Prospect centre, or funding a deal you accept these Deal Terms. The platform is operated by ITXL LTD, a company registered in England (company number 17060034), of 167-169 Great Portland Street, London W1W 5PF. Supplemented by our Privacy Policy, Cookie Policy, Acceptable Use Policy, Refund Policy, Dispute Resolution Policy, Disclaimer, and Complaints Procedure, which together form the agreement between you and us.
2. What ZOMZEY is, and what it is not
ZOMZEY is a marketplace venue that connects Pioneers, Influencers and Hubs and provides tools for them to agree, fund and complete deals. Every deal is a contract between the Pioneer and the Influencer or Hub who make it. ZOMZEY is not a party to any deal, is not an agent for either side, and does not supply, control or guarantee the work agreed in any deal.
3. How a deal is formed
The conversation in ZOMZEY chat is the record of what the two sides discuss and agree. A deal agreement created through the Prospect Centre and posted into the chat is a summary of the agreed terms. Nothing is binding on either side until the deal is funded through ZOMZEY Protected Payments, powered by PayPal and Stripe. Funding is the act that forms the deal. Once funded, both sides are bound by the terms recorded in the chat, including the posted deal agreement and any changes both sides clearly agreed in the chat before funding.
4. The chat is the record
Both sides agree that the ZOMZEY chat conversation, including deal agreements and delivery notices posted into it, forms the record of the deal and may be relied on by either side and by ZOMZEY dispute support in resolving any disagreement. Keep everything about the deal in the chat. Terms discussed off the platform are not part of the record and ZOMZEY cannot take them into account.
5. Payment, fees and release
Deals are funded through ZOMZEY Protected Payments, powered by PayPal and Stripe. Funds for a deal are held under the deal until the work is delivered and approved, at which point payment is released to the Influencer or Hub, less ZOMZEY commission and any fees shown at the point of funding and on our Pricing page. All amounts, commissions and fees are shown before the Pioneer confirms funding. Payment processing is provided by Stripe under Stripe's own terms.
6. Delivery and approval
The Influencer or Hub must deliver what was agreed in the record, by the agreed deadline, and should post a delivery notice with proof through the Prospect Centre. The Pioneer must review delivery promptly and act reasonably and honestly in approving it. Approval must not be unreasonably withheld where the work delivered matches the record. Once delivery is approved, payment releases.
7. Disputes between the two sides
If the two sides disagree, they should first try to resolve it between themselves in the chat, keeping everything on the record. If they cannot, either side may ask ZOMZEY dispute support for help. ZOMZEY will review the record, may ask both sides for information, and may decide how held funds for the disputed deal are released, in whole or in part to either side, acting reasonably and based on the record. Both sides agree that ZOMZEY may make and act on that decision so the deal can conclude. ZOMZEY dispute support is a practical service for resolving deal outcomes on the platform. It is not a court, an arbitrator or a legal service.
8. Your legal rights are not waived
Nothing in these Prospect Centre Terms takes away, limits or waives any statutory rights, consumer rights or other civil rights that either side has under the law that applies to them, and nothing in these terms prevents either side from bringing a claim before a court of competent jurisdiction. Using ZOMZEY dispute support is not compulsory before, and does not replace, any legal route either side chooses to take. Where any law gives a party rights that cannot be excluded or restricted by contract, those rights apply in full.
9. Keeping deals on ZOMZEY
The protections in these terms only work when the deal runs through the platform. Taking a deal that started on ZOMZEY off the platform to avoid fees, or paying outside ZOMZEY Protected Payments, means the deal is not protected, is not covered by dispute support, and is a breach of our Terms of Service which may lead to account action.
10. Content, rights and responsibility for the work
The two sides are responsible for agreeing between them who owns or may use any content created under a deal, including usage rights, exclusivity and durations, and for recording that in the chat. Each side is responsible for the legality of what they ask for and what they deliver, including advertising disclosure rules, platform rules of any third party service where content is posted, and all applicable law.
11. ZOMZEY's responsibility and its limits
ZOMZEY will provide the platform, Protected Payments and dispute support with reasonable skill and care. Beyond that, and to the fullest extent the law allows, ZOMZEY is not liable for the acts, omissions, work quality, delays or conduct of any Pioneer, Influencer or Hub, for losses arising from the deal itself, or for indirect or consequential losses. Nothing in these terms excludes or limits any liability that cannot be excluded or limited by law, including liability for death or personal injury caused by negligence, or for fraud.
12. Fair use of the Prospect Centre
Deal agreements and delivery notices must be honest and accurate. Creating false agreements, false delivery notices, or misusing the record to mislead the other side or ZOMZEY is a breach of these terms and may lead to account action and release decisions against the party responsible.
13. Changes to these terms
We may update these Deal Terms from time to time. The version in force when a deal is funded is the version that applies to that deal. We will publish changes on this page.
14. Agency terms
For Agencies. When an Agency submits an offer that includes roster talent, the Agency is the sole supplier and sole payee on ZOMZEY. Any fees promised to talent members are a private agreement between the Agency and its members, paid by the Agency directly. ZOMZEY does not hold, process, guarantee or arbitrate payments between an Agency and its talent. Every included member must approve their participation and fee before an offer goes live, and material changes reset that approval. If a talent member raises a complaint of non-payment and it is upheld, ZOMZEY may suspend or permanently remove the Agency's membership without refund of any membership fees. Repeated or volume complaints of non-payment are treated as conclusive.
For Talent. Your fee on an Agency offer is the Agency's promise to you, shown to you at approval and recorded by ZOMZEY as evidence. The Pioneer never sees your fee. ZOMZEY does not pay you for Agency packages and is not involved in that payment, but you are not unprotected: if an Agency fails to pay what it promised, report it. Upheld complaints end that Agency's place on ZOMZEY, without refund to them. Agencies that do not pay their people do not keep their doors here.
