Usage rights define how the Pioneer may use delivered content, licensing grants permission to use specified rights, and exclusivity limits who else the supplier may work with or where similar content may appear.

What you need to know

  • State the channels: for example organic social, website, email, print, paid advertising or another agreed use.
  • State the period and territory if the permission is not intended to be unlimited.
  • Say whether editing, cropping, subtitles, derivative versions, whitelisting or paid media are allowed.
  • Define exclusivity narrowly: category, competitor set, geography and duration should be understandable.
  • Broader rights and exclusivity can materially affect price, so agree them before the offer is accepted.
  • Do not rely on vague wording such as all rights unless both parties genuinely understand the legal effect.
